Mr. Jason Namasake EBS is the Founding and Managing Partner at JNN Advocates. He has over 40 years of professional experience and is widely regarded as an authority in Employment, Labour and Industrial Relations, Constitutional, Corporate Commercial Banking, Conveyancing and Finance Law. 

Mr Namasake has represented many clients on a wide array of matters and has had made an indelible contribution in jurisprudence both locally and regionally.

Mr Namasake has advised on a number of consequential matters and has represented several clients at all court levels.

  • He was Head of Legal and Industrial Relations at the Federation of Kenya Employers up until 2006, a period during which he oversaw all legal matters for all the federation’s members.  During this period, he handled many high-profile employment matters which have had huge implications on and set precedent in the labour and industrial relations movement in the country.
  • He was part of the team that formulated the Labour Laws that came into force in 2007/8.
  • Due to his successful handling of matters while at the Federation, he continues to represent in court and consult for a number of high-profile clients in the Banking and Finance industry, the media, as well as in the manufacturing sector.
  • He has successfully negotiated several Collective Bargaining Agreements for clients such as B.S. Mohindra, London Distillers Kenya Limited, Fast-Track Management Consultants Limited, Modernways Limited, Kenya Coach Industries Limited, BBC Monitoring East Africa, among many others.
  • He has and continues to represent high-profile organisations and individuals in Court, among the most prominent being the Kenya Bankers Association, Middle East Bank (K) Limited, BBC Monitoring East Africa Limited, African Boot Company Limited and unions such as the Kenya Union of Domestic, Hotels, Educational Institutions, Hospitals and Allied Workers Union and the Kenya Engineering Workers Union.
  • He conducts trainings on labour and industrial relations matters for small, medium, and large audiences.
  • His legal expertise came in handy while at the Salaries and Remuneration Commission, where, as a commissioner, he was instrumental in guiding the structure of the commission secretariat and the spearheaded matters concerning the Senate, the County Governments and Devolution in general.

Mr. Odwuor Odete is the Lead Partner at JNN Advocates. His practice mainly focuses on dispute resolution, real estate & conveyancing, Corporate Commercial, Intellectual Property, Banking and Finance and Tax Law. 

Mr. Odete focuses on, dispute resolution, corporate commercial, IP, conveyancing, Tax property development work, property joint ventures, construction and banking law.

He acts for private clients and institutional clients in dispute resolution covering employment, corporate commercial and Tax law matters, he also acts for clients on matters involving property acquisition and disposal processes including due diligence, title processing, transaction management, completion formalities and related advice. 

He has advised various high end commercial, residential and mixed used developers on property acquisition, formation of the investment vehicles, legal and tax structuring, construction and related property financing, property and building management, construction contracts, sales and leasing.

 Mr. Odete also undertakes corporate work which includes undertaking detailed corporate due diligence, restructuring as well as review of corporate regulatory compliance 

His experience also includes development and execution of corporate trainings on a number of areas from employment and labour law, corporate governance and management. 

Mr Odete has also advised on land use, physical planning, zoning and user restrictions and other environmental law compliance requirements in relation to properties across Kenya

  • Acting for Equity Group on its acquisition of 79% of the share capital of ProCredit Bank, a financial institution in the Democratic Republic of Congo.
  • Advising Open Society Initiative for Eastern Africa, an organisation which promotes public participation in democratic governance, the rule of law, and respect for human rights, through their New York head office and their local offices on setting up in Kenya, Uganda, Tanzania and Sudan, negotiating and advising on leases in respect of the properties occupied by the organisation in various jurisdictions, ongoing day to day legal matters, litigation and various employment matters.
  • Acting for the Coca-Cola Company, Coca-Cola Central, East and West Africa Limited and Equator Bottlers Limited in connection with a class action suit instituted by residents of Busia County in connection with negligence arising from the consumption of alleged contaminated sodas. 
  • Acting for Paramount Chief Estate in connection with its greenfield development of a medium-cost housing estate in the Kenyan suburb of Kiambu comprising of 345 villas in Phase 1, and 405 Maisonettes in Phase 2, known as Edenville.
  • Acting for Centum, a leading East African investment and real estate development company listed on the Nairobi Securities Exchange in connection with the Two Rivers Mall situate on Two Rivers, fully-integrated mixed-use development, the largest of its kind in Kenya.
  • Acting for Actis Fund in connection with the 500,000 square feet development known as Garden City Mall.
  • Acting for Soma Properties, one of Kenya’s largest shopping malls, in connection with the expansion of the Sarit Centre mall to include more retail and commercial space.
  • Advising various developers, purchasers, lessor and lessees of commercial and residential properties in connection with the acquisition of land, land control requirements, obtaining various development approvals including obtaining the necessary approvals from the relevant authorities, physical planning requirements, sale or lease of commercial and residential units and advising clients on real estate taxes including stamp duty and capital gains tax.
  • Handling general conveyancing matters including sale, transfer, leasing and charging land and giving legal advice on matters touching on land.
  • Representing clients in connection with mixed use developments including carrying out due diligence and negotiating sale agreements and advising the client on various issues touching on planning laws and user restrictions.

  • Acting for Garden City, a USD 250 million, integrated mixed-use development in Nairobi comprising of the Garden City Mall, a 500,000 square feet shopping mall, offices and at least 210 residential units made up of apartments and villas and a recreational area, developed by Actis, a private equity fund with over USD 5 billion managed to date, including assisting in the negotiations and preparing of leases.
  • Advising clients on real estate taxes including stamp duty and capital gains tax.
  • Acted for Saalam Investment Bank in the due diligence  and pre acquisition transactions relating to the acquisition of a property worth approximately KES 1billion.
  • Equity Group Foundation, an East African foundation based in Kenya, in connection with the acquisition of various commercial spaces for its flagship chain of health clinics known as ‘Equity Afya’ across Nairobi.

Tonge Yoya is an Advocate of the High Court of Kenya, a partner in the firm and a renown Trade Unionist. He has previously worked with the Kenya National Union of Domestic, Hotels, Education Institution and Hospital Workers(KUDHEIHA WORKERS) for over a decade negotiating Collective Bargaining Agreements (CBA’S) with different Institutions both private and public and representing the union in Court in various matters.
Tonge holds an LL.B degree from the Catholic University of Eastern Africa and Post Graduate Diploma from Kenya School of Law.
Tonge is currently the Chairman of Kenya National Union of Domestic Workers (KNUDOW) and is well known for his love and passion for alternative dispute resolution that he carries out with dedication and zeal as he is highly knowledgeable and skilled in that area of law.

  • Petition 185 of 2019 (Kenya Union of Domestic, Hotels Educational Institutions and Hospital Workers – Versus- Sports Kenya Ltd and another). Delivered by Justice Byram Ongaya Employment and Labour Relations Court on 16th October 2020 where the court found the action of the employer purporting to reduce salaries of employees working for sports Kenya unconstitutional, null and void .
  • Cause number 1010 of 2014 (Kenya Union of Domestic, Hotels Educational Institutions and Hospital Workers – Versus- Joy Town Special School ) delivered by Justice Monica Mbaru on 19th January 2017 where the court awarded a secretary KES 852,000.00 for unlawful termination.
  • Cause number 724 of 2013 ( Kenya Union of Domestic, Hotels, Educational Institutions and Hospital Workers – Versus- Kenya Medical Training College) delivered by Justice Maureen Onyango where the court awarded Collective Bargaining Agreement amount of KES 780,000,000.00(Seven Hundred and Eighty Million Kenya Shillings )
  • ( Kenya Union of Domestic, Hotels, Educational Institutions and Hospital Workers – Versus- British Army Training Unit ) delivered by Justice Monica Mbaru where counsel Tonge canvased the most important bilateral agreement between Kenya and the Northern Ireland Kingdom of great Britain in matters training exchange program between Kenya and British soldiers.
  • Cause 1081 of 2015 (Kenya Union of Domestic, Hotels, Educational Institutions and Hospital Workers – Versus- Kenya Association of Hotel Keepers and caterers and 80% 5 stars hotel in the Kenya) where Hon Justice Ndolo declared Finance Act on 16% VAT taxed on service charge as unconstitutional ensuring KES 1.2 Billion deducted from employees between 2013-2017 by different employers full reimbursed.
